SOK and Coop Estonia agree on sale of Prisma Estonia and strategic cooperation

SOK and Coop Estonia have agreed on a business transaction in which AS Prisma Peremarket and 13 Prisma stores in Estonia will be sold to Coop Estonia. After the transaction is confirmed, SOK and Coop Estonia also plan extensive cooperation, with the target to deliver Finnish food and other products from SOK retail stores selection in Finland to 300 Coop stores in Estonia.

The completion of the transaction is subject to approval by the Estonian competition authority, which is expected to take place during 2026. After the transaction is confirmed, all 13 Prisma stores in Estonia will become Coop stores, and 700 Prisma employees will transfer to Coop. Until then Prisma stores will continue to operate normally. The transaction will not affect Sokos Hotel Viru, which continues to operate normally.

Coop Estonia is the largest domestic retail chain in Estonia. Its store network includes more than 300 stores across Estonia. As a result of the cooperation, Finnish food and other products sold by S Group stores in Finland can become available to significantly more customers across Estonia. Products valued by Prisma customers for their Nordic quality can reach a much broader network of stores nationwide through Coop Estonia’s more than 300-store network.

“Coop’s market share in Tallinn has been low compared to competitors, as we have historically focused on having a presence in other parts of Estonia. We have been looking for a suitable opportunity to increase our market share in Tallinn for quite some time. Acquiring Prisma Peremarket gives us the opportunity to significantly increase our market share and make Coop more accessible than before to residents of the capital,” said Rainer Rohtla, Chairman of the Management Board of Coop Estonia Keskühistu.

According to Krook, Prisma business in Estonia has been financially positive for SOK.

"We would like to thank the employees and customers of Prisma in Estonia for the past 25 years. There have been challenging times along the way, especially in recent years due to the unusually high inflation which has impacted local demand. In recent months our sales and results have been growing strongly again, and now is a good time to make this change. Overall, the business has performed clearly positively. " says Hannu Krook.

According to Krook, the decision was made for strategic reasons. “We had two options: either invest more in the store network ourselves, or grow through partnership. We decided to invest in a partnership. This allows us to redirect investment funds, in line with our strategy, to developing services for our co-op members and securing growth in our domestic business.” “In the future, the benefits for customers and our extensive partner network will only increase when we can deliver products from our network to up to 300 Coop stores instead of the previous 13 Prisma stores," Hannu Krook states.
